ORIGINAL MUSIC AGREEMENT

Between:

Santiago Bianchi, composer and music producer (hereinafter referred to as “the Composer”),
and
Are We Online Ltd (hereinafter referred to as “the Client”).

1. Purpose

The Composer agrees to create and produce original music for a short film with a total duration of approximately 11 (eleven) minutes.
The services include:

• Film scoring / original music composition

• MIDI programming

• Audio mix of the composed music

Music that is not original or not composed by the Composer is excluded from this agreement and remains the sole responsibility of the Client.

2. Music Cues and Creative Control

The assignment and number of music cues (music points) within the short film shall be determined and approved by the Composer in consultation with the Client.
The Composer retains creative control over the composition and artistic aspects of the score.

3. Revisions

Up to two (2) rounds of revisions are included in the agreed price.
These revisions refer to minor adjustments (timing, instrumentation, mix balance, etc.).
Any request involving a complete rewrite or new composition shall be considered a separate service and will be subject to a new agreement or additional fee.

4. Delivery

The final delivery of the completed and mixed soundtrack will occur within five (5) working days from the date of payment confirmation or from the Client’s delivery of the final locked film cut, whichever is later.
Deliverables shall be provided in stereo WAV format (48kHz) or another agreed format.

5. Fee and Payment

The total discounted fee for this project is €1,210 (one thousand two hundred ten euros), reduced to €130 based on prior agreements between the parties.

Payment must be made in full in advance via the Composer’s official website: santiagobianchi.it.

This agreement becomes automatically valid and binding at the moment the payment is received. No additional invoicing or signature is required for the contract to take effect.

6. Rights and Ownership

All music created under this agreement remains the exclusive property of Santiago Bianchi.
The Client is granted a non-exclusive, perpetual license to use the music solely within the agreed short film and for all its associated promotional, distribution, and exhibition purposes.
The Composer will register the compositions with SIAE for royalty collection.
The Client is free to exhibit, distribute, and publish the short film in any form or media, provided that all royalties due to the Composer are properly paid through SIAE or the corresponding collecting society.

7. Credits

The Client shall include the following credit in the film’s end titles and any official communication or publication:
“Original Music by Santiago Bianchi”.

8. Portfolio Use

The Composer may include the short film, or excerpts thereof, in his personal and professional portfolio, but shall not publish or share any material before the official release of the film by the Client.
